Admins and Managers (when given the appropriate permissions) can control what users can see and which actions they can perform in the Data Room.
How to configure Sell side permissions
To configure this, go to the Sell side, navigate to the Contributor or Manager role you want to set up and click Set permissions to the right of the role.
Note: if you still need to create a Seller role, please see this article.
Available permissions and settings
After that, the permissions screen will appear.
1. Mass download: Users can download multiple files at once. The selected download permission (download secured PDF or download original) applies to each document. If mass download is disabled, users can still download files individually if given download permissions.
2. Watermark: Watermarks will be displayed in our viewer and in downloaded secured PDFs.
3. User visibility (Contributor roles only): When enabled, Contributors can view both the Sell‑side and Buy‑side overview in the Data Room, including all users present (Admins, Managers, other Contributors, and Guests).
4. View online: Grants access to a folder or document, so users can see it in the folder structure within the Data Room. If a file can be converted, it can be viewed online in our secure viewer. Files that cannot be converted are not viewable in the Data Room
5. Download secured PDF: The original document will be downloaded as a secured PDF. This is only possible for files that can be converted and are not an Excel format. For more information, see our best practices for non-converted files and Excel files in the Data Room.
6. Download original: Allows users to download the original file from the Data Room (without a watermark).
7. Upload: Users can upload folders and files, and create folders and placeholders in the Data Room.
8. Delete: Users can delete folders, files and placeholders from the Data Room. Deleted items are moved to the recycle bin, which is only visible for Admins.
9. Edit: Users can edit titles and descriptions of folders, files and placeholders.
10. Move: Users can move folders, files and placeholders.
